I have thought that the obvious question was yes from my own experience but a discussion I started on the NZ Institute of Director’s LinkedIn Group got the following reply. What are your thoughts?
“Individual Directors should have no official connection with the finance team unless on a particular strategic / technical issue and even then their involvement should be cleared in advance by the Chairman and also the CEO and recorded in the board minutes.
“I’ve never been a fan of having the CFO attend board meetings. The CEO is fully accountable and responsible for every facet of the company’s operation and as such needs to front to the directors with reports and recommendations that he is fully conversant with including the finance portfolio. If there are technical issues that the CEO believes an expert professional would assist him in explaining to the directors then he should use that assistance but the call should be his.”
